Governance arrangements at Arts University Bournemouth are designed to meet the expectations of the CUC Code of higher education governance and to ensure the highest standards of governance across all the University’s operations.
The University has established a Board of Governors which holds responsibility for approving University strategy, securing its financial sustainability over time, and ensuring the quality of the student experience. The Board of Governors is the ultimate legal authority of the University, and Board members act as charitable trustees, safeguarding the University throughout their period of stewardship. The Board must ensure that AUB complies with the conditions of registration of the Office for Students, together with any legal, statutory or regulatory requirements set by other external bodies. There are separate arrangements for academic governance.
The majority of Governors are independent of the University, but the Board also includes the Vice-Chancellor and Chief Executive Officer; elected members of staff; and a student representative.

The Board of Governors has established six Committees to oversee specific aspects of its business. The formal terms of reference and constitution of each Committee is provided below. Senior members of University staff attend Committees at the request of the respective Chairs. The Committees are as follows:
This Committee is a forum to focus on the academic work of the University and gives the opportunity for members to gain greater understanding and insight into the core business. The Committee does not seek to duplicate or supplant the work of Academic Board, as the sovereign academic body, but to review progress against the key academic work of the University, to “demystify” this area of work and to provide assurance that the associated risks have been identified and are being mitigated.
This Committee provides assurance to the Board that the University operates an effective system of internal control for securing economy, efficiency, and effectiveness. The Committee oversees the internal audit programme and meets with both the internal and external auditors. It also oversees the risk management and internal control processes.
The Finance and Resources Committee advises the Board on strategic financial planning and monitors the University’s financial performance. The Committee receives detailed annual capital and revenue budgets, budget updates and longer-term financial forecasts on behalf of the Board and makes recommendations to the Board for approval. It also holds responsibility for oversight of commercialisation opportunities and income diversification; estates planning; and environmental sustainability.
This Committee advises the Board on all matters relating to people, culture and organisational development. It ensures that pay and conditions of employment are properly determined and implemented; and monitors compliance with relevant legislation. It also has oversight of actions designed to support the support, development and performance of all staff.
The Remuneration Committee determines the remuneration to be awarded to the University’s senior officers including the Vice-Chancellor and CEO. Its work is aligned to the expectations of the CUC Remuneration Code and the Committee prepares the University’s annual Remuneration Report. The Committee refers to comparative information when making its decisions, which are clearly documented and follow a defined process.
This Committee is responsible for ensuring that transparent and appropriate procedures are in place to fill vacancies and to select suitable candidates for membership of the Board. This Committee advises the Board on the operation and effective discharge of the University’s responsibilities for corporate governance and the appropriate delegation of the Board’s authority. The Board, through regular reviews of its own performance, is confident that it meets the expectations of good governance in higher education.
The Remuneration Committee considers the pay and total emoluments of the University’s senior post holders.
The Remuneration Committee determines the conditions of service and remuneration of the Vice-Chancellor and CEO; and assures itself that the University’s employment policies in relation to other senior post holders are appropriate.
